1 Purpose and contractual documents
These client terms and conditions (the “Terms”) govern the coaching programmes offered by Transformation Consciente, represented by Badra Kribi, hereinafter the Coach. They set out the arrangements for booking, payment, delivery and ending of the coaching, as well as the Client’s rights.
Before any commitment, the Client receives these Terms and a personalised agreement specifying the programme, its content, the number and length of sessions, the duration of the coaching, the total price, the applicable VAT regime, the payment arrangements and the start schedule. Specific conditions expressly agreed take precedence over any inconsistent general provisions, without removing the Client’s mandatory rights.
In these Terms, a consumer Client is an individual who contracts for purposes outside their professional activity. A professional Client contracts for the purposes of their business. The Client’s status is specified in the personalised agreement. The provisions on consumer mediation concern consumers; those on withdrawal apply where the law grants that right, including to professionals who benefit from the conditions of Article L221-3 of the French Consumer Code for certain off-premises contracts.
The Client reviews these documents before accepting them. A confirmation of the contract and the necessary information are provided on a durable medium that the Client can keep, in particular by email with attachments. The privacy policy is also made available to the Client before any data is collected.
2 Nature and limits of coaching
Coaching is a partnership based on trust, active participation and mutual respect. The approach may combine transformational and leadership coaching, emotional awareness, body-based presence practices and exercises adapted to the Client’s needs. The Client remains free in their choices and may decline any exercise or suggestion.
Badra Kribi acts as a coach, and not as a physician, psychologist, psychiatrist or psychotherapist. Coaching is neither a diagnosis nor a medical or psychological treatment. It does not replace the care of a health professional. The Client must not stop or change a treatment without the advice of the competent professional. A referral to a health professional may be suggested if needs go beyond the scope of coaching. If in doubt about their health, the Client consults a qualified health professional. If the Coach considers that the situation goes beyond the scope of coaching, they recommend that the Client consult a health professional and may propose suspending the sessions, the parties agreeing together on the conditions for resuming. No medical certificate or document is requested from the Client.
The Coach undertakes to apply their skills with care and professionalism. No specific result is guaranteed. Results depend in particular on the situation, the participation and the actions of the Client. This does not exclude the Coach’s liability for any breach of their obligations.
3 Initial consultation and organisation
A free online Clarity session of 30 to 60 minutes may be offered to explore the Client’s needs and whether the coaching is a good fit. The length is specified at booking according to the format announced on the relevant website page or campaign. Paid coaching begins after agreement on the programme and its conditions. The avenues discussed may be adjusted during the coaching, within the agreed content.
Sessions take place remotely, in particular via Zoom, or in person according to the personalised agreement. Their dates are set by mutual agreement. For remote sessions, the Client has a suitable connection and equipment, and a space that allows the conversation to remain confidential. If a technical problem prevents a session, the parties agree on suitable arrangements, including a postponement where necessary.
The Client is punctual and informs the Coach in case of delay. The session cannot always be extended beyond the scheduled slot. If the delay is attributable to the Coach, the missing time is made up or the session is rescheduled by mutual agreement.
4 Fees and payment
Prices are stated in euros, all taxes included (incl. VAT), VAT included at the applicable rate. The total price and the payment arrangements are communicated before any commitment; the invoice shows the amounts excluding tax, the applicable VAT and the total including tax. The total price of an accepted programme cannot be increased unilaterally during the contract. Any new rates apply to new bookings only.
For a single session booked individually, payment is due at least 48 consecutive hours before the session, unless the booking is made later or a different arrangement is confirmed in writing. If payment is not made, the Coach may suspend confirmation of the appointment after informing the Client. For a programme, the single payment or the instalment schedule set out in the personalised agreement replaces this session-by-session payment rule.
For a professional Client, late-payment penalties are payable without reminder from the day after the due date shown on the invoice. The annual rate is the rate of the European Central Bank’s most recent refinancing operation increased by ten percentage points, taken as at 1 January for the first half-year and 1 July for the second, in accordance with Article L441-10 of the French Commercial Code. A fixed recovery indemnity of €40 is also due; additional compensation may be claimed on supporting evidence if the costs incurred exceed this amount. These provisions do not apply to consumer Clients.
The personalised agreement specifies the amounts, due dates and means of payment. Payment in instalments spreads the price of the programme; it does not turn the coaching into a monthly subscription. Statutory rights and the conditions for ending the programme continue to apply. For a consumer Client, any late payment is first discussed before any suspension of sessions, with no charges or penalties that are not provided for and legally justified.
5 Rescheduling and cancelling sessions
If the Client or the Coach has to cancel or reschedule a session, they inform the other as soon as possible, ideally at least 48 hours before the appointment. This period is an organisational guideline and gives rise to no penalty if it cannot be met. In the event of an unforeseen circumstance, including illness, transport difficulties or any other impediment, a message as soon as possible is sufficient. The Client may give notice by email at contact@bybadra.com, by telephone or through the agreed messaging channel.
Any session that does not take place, including in the case of late cancellation or absence, is neither invoiced nor deducted from the programme. The parties agree together on a new date and, if necessary, adjust the period in which the programme is delivered. If the session has already been paid for, the sum remains allocated to the rescheduled session; if rescheduling is not wanted or cannot be arranged, the amount corresponding to the session not held is refunded on the basis of the agreed price.
These arrangements apply in the same way to the Client and the Coach, with no cancellation penalty or automatic fixed indemnity for either of them. They limit neither the right of withdrawal nor any other rights and remedies provided by law. In the event of repeated impediments, the parties review the arrangements and the continuation of the coaching, with no invoicing of sessions not held.
6 Ending the programme and refunds
The Client or the Coach may end the programme by giving seven calendar days’ written notice, starting from receipt of the notification. This contractual notice period is not a condition for exercising the statutory right of withdrawal or the Client’s rights in the event of a breach by the Coach. The parties discuss the reasons for this decision and organise the end of the coaching. The Client may end an exercise or a session at any time; the financial consequences remain subject to these Terms and to statutory rights.
Apart from statutory withdrawal, a programme paid in advance and then interrupted gives rise to a refund of the services not delivered. Sessions not held are not invoiced, even if they were scheduled during the notice period. If a recalculation of sessions delivered at the standard unit rate is provided for, that rate and the calculation method must have been expressly communicated and accepted in the personalised agreement before commitment. Failing that, the calculation is made pro rata to the agreed price. No recalculation may result in invoicing more than the total price of the programme or in infringing the Client’s mandatory rights.
The withdrawal rules in section 7 prevail over any recalculation at the standard rate. If the programme is ended by the Coach, services not delivered are refunded pro rata to the agreed price, with no retroactive increase in the price of the sessions delivered. Future instalments are adjusted accordingly.
The absence of the hoped-for result does not by itself justify a refund of sessions properly delivered, without prejudice to the Client’s remedies in the event of a breach by the Coach. The cancellation and refund clauses do not prevent the exercise of rights granted by law, in particular in the event of non-performance or force majeure.
7 Right of withdrawal
For contracts concluded at a distance or off-premises to which French consumer law grants a right of withdrawal, the consumer Client has fourteen days from the conclusion of the contract to withdraw without giving any reason. The period starts the day after the contract is concluded. If the period expires on a Saturday, Sunday or public or non-working holiday, it is extended to the next working day.
Before the period expires, the Client sends their decision to Transformation Consciente, 36 rue Scheffer, 75116 Paris, France, or to contact@bybadra.com, using the attached form or any unequivocal statement. Use of the form is not compulsory. It is for the Client to be able to prove that they exercised their right within the period.
Sums paid are refunded without undue delay and no later than fourteen days after receipt of the decision to withdraw, using the original means of payment, unless the Client expressly agrees to another means at no cost. If no service has begun, all sums are refunded in full.
If the coaching has begun at the Client’s express request before the end of the period, the conditions of section 8 apply. The provisions on voluntary interruption of the programme cannot restrict this statutory right.
8 Starting before the end of the withdrawal period
A Client who wishes to start before the fourteen-day period expires makes an express request. This request is collected separately from the general acceptance of the Terms, by an unticked box or an explicit confirmation by email. For an off-premises contract, the statutory requirements regarding a durable medium and payment are also respected.
If the Client exercises their right of withdrawal after such a start, they owe only the amount proportionate to the services provided up to the time they communicate their decision, based on the total agreed price and subject to compliance with the statutory obligations to provide information and to collect their request. The balance of the payments received is refunded to them. If these obligations have not been complied with, no sum is due for this early performance in the cases provided for by law.
The start of a session does not automatically cause the right of withdrawal to be lost. That right is lost through performance of the service only after the contract has been fully performed, where the Client has previously given their express consent to start and acknowledged that they would lose their right once the service has been fully performed.
9 Commitments and exchanges between sessions
The Client takes part in the programme freely and actively, communicates accurately and honestly the information useful to the coaching, at the first exchanges and throughout the programme, and carries out, to the extent agreed, the exercises or practices between sessions. Where a personalised audio is offered, its terms of use are explained and adapted to the Client’s situation.
Exchanges between sessions take place by email or through the agreed messaging channels. The Coach usually replies within 24 to 48 hours, and in any case within two working days. This period is counted from Monday to Friday, excluding weekends, public holidays and periods of leave or unavailability announced in advance. A message received during these periods is dealt with when activity resumes. For example, a message received on a Friday receives a reply by the following Tuesday at the latest, except in the case of a public holiday or announced unavailability. This service is not an emergency service or a medical or psychological helpline.
10 Respect and safety
The parties commit to a respectful relationship, without abuse of trust or violent, threatening or abusive behaviour. The Client undertakes to respect the safety of people and property during sessions. Sessions must not be attended under the influence of alcohol or substances that impair the ability to take part. Prescribed treatments must not be changed without medical advice.
If safety conditions are not met, the Coach may interrupt a session and propose a reorganisation or the end of the coaching. Services not delivered are not automatically retained as a penalty; the financial consequences are assessed according to the contract and the law.
For the coaching of a minor, the agreement is concluded with their legal representative, whose prior authorisation and presence during sessions are required.
11 Confidentiality and personalised audios
Exchanges, notes and documents relating to the coaching are confidential. No information is passed on to a third party without a legal basis or the Client’s appropriate agreement. Legal obligations, requests from authorised authorities and situations of danger may justify disclosure within the limits allowed by law. No exchange with a health professional takes place without the Client’s agreement, except where required by law or in a situation of danger.
The Coach may discuss their practice in professional supervision, protecting the Client’s identity. Any disclosure that would allow identification requires a legal basis or the Client’s specific agreement, as the case may be.
Zoom sessions are not recorded. If a relaxation audio is offered, it contains only the Coach’s voice and may mention the Client’s first name, without their voice, image or other personal information. Its personalised production is subject to the Client’s separate authorisation. The audio is reserved for their personal use and is not publicly or promotionally distributed.
The materials and audios provided are reserved for the Client’s personal use. They may not be sold, lent, copied, shared or distributed without authorisation, subject to rights provided by law. Relaxation audios must not be listened to while driving, operating machinery or during any activity requiring sustained alertness.
12 Personal data
The data necessary for managing the contract and the coaching is processed in accordance with the GDPR and applicable rules. Full information on purposes, legal bases, recipients, retention periods, any transfers and the Client’s rights is set out in the privacy policy, provided or made directly accessible before data is collected.
Coaching files are stored using the secure, encrypted cloud services of Tresorit, as described in the privacy policy. The Client may contact contact@bybadra.com to exercise their rights, in particular of access, rectification or erasure under the conditions provided by law, and may lodge a complaint with the CNIL. Having read the policy does not amount to general consent to all processing. Processing that requires specific consent is the subject of a separate request.
13 Liability and international services
The Coach is liable for their breaches under the conditions provided by law. The Client remains responsible for their personal decisions and actions. No provision removes a liability that cannot lawfully be excluded or limited.
Services may be offered internationally, except to clients located in the United States and Canada, depending on the scope of the offer. Mandatory rules applicable to the Client’s situation remain reserved.
14 Complaints and governing law
Any complaint may be sent to contact@bybadra.com or by post to Transformation Consciente, 36 rue Scheffer, 75116 Paris, France. The Client is invited to describe their request and provide the information needed to examine it. The Coach seeks an amicable solution. If a complaint remains unresolved, the details of the competent mediator are also provided to the consumer Client on a durable medium.
The contract is governed by French law, without depriving the consumer of the mandatory protections they enjoy where the rules of private international law so provide. The competent courts are determined according to the applicable rules, including those protecting consumers. The contract does not impose an exclusive jurisdiction contrary to those rules.
15 Consumer mediation
After a prior written complaint to Transformation Consciente and failing a satisfactory solution, the consumer Client may refer the matter, free of charge, to the consumer mediator to whom the professional is attached, under the admissibility conditions provided by law. The Client must refer the matter to the mediator within one year of their written complaint to the professional. They retain the possibility of bringing the matter before a competent court.

Referrals must be made in writing and in French.
16 Applicable version and acceptance
The applicable Terms are those given to the Client and accepted when the contract is concluded. Updates published afterwards do not retroactively change their coaching. Any change to a contract in progress requires the agreement of the parties where the law so requires. For a new booking after an interruption, the Client reviews the version communicated to them before their new commitment.
By accepting the personalised agreement and these Terms, the Client acknowledges having received information on the nature and limits of coaching and on confidentiality, and consents to the agreed coaching. Acceptance of the personalised agreement and these Terms does not amount to a waiver of statutory rights, nor to consent to any recording or promotional use of data. Optional authorisations are collected separately.
Optional request to start early
To be completed only if the Client wishes to start before the end of the withdrawal period. The box must remain unticked.
☐ I expressly request that the coaching begin before the end of the fourteen-day withdrawal period. I understand that I keep this right as long as the period has not expired and the contract has not been fully performed. In the event of withdrawal, the amount proportionate to the services already provided will remain due under the conditions provided by law. I acknowledge that I will lose this right once the contract has been fully performed, if that performance occurs before the end of the period.
